Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of the DSoftStudio Mediator library, commercial developer tooling (including the VSIX Pipeline Explorer and any embedded or associated components) (collectively, the "Service"). By using the Service, you agree to these Terms.

2. The open-source library

The core DSoftStudio Mediator library is licensed under the MIT License. You may use, modify, and distribute it freely under those terms. The MIT license applies regardless of whether you purchase a commercial subscription.

3. Free access period

We may offer a limited-time free access period (e.g., 3 months) that provides full access to commercial features without requiring a credit card. At the end of the free access period, commercial features will be deactivated unless you choose to purchase a subscription. The core MIT-licensed library remains fully functional, and your code will continue to compile and run without interruption.

We reserve the right to modify or discontinue free access offers at any time, and to limit or deny access in cases of abuse, including repeated registrations or attempts to circumvent licensing restrictions.

4. Paid subscriptions

Paid subscriptions may be purchased at any time to continue using commercial features after a free access period.

We may offer an optional 14-day free trial for paid subscriptions. Where applicable, this trial may require a valid payment method and may automatically convert into a paid subscription unless canceled before the trial period ends.

If you cancel during the trial period, no charges will apply. If a subscription is not continued, commercial features will be deactivated, but your code will continue to compile and run using the MIT-licensed core library without interruption.

5. Commercial subscriptions

Commercial features (including Pipeline Explorer, Roslyn Analyzers, Runtime Profiling, and related tooling) require a paid subscription.
Available tiers, limits, and pricing are described on the Pricing page and may change over time.

  • Individual — 1 activated machine.
  • Teams — up to 5 activated machines.
  • Enterprise S — up to 25 activated machines.
  • Enterprise M — up to 50 activated machines.
  • Enterprise L — unlimited activated machines, subject to a fair-use cap of 1,000 machines per subscription. Organizations exceeding this cap must contact licensing@dsoftstudio.com for a custom quote.

6. Billing and payments

All payments are processed by Paddle.com Market Ltd ("Paddle"), who acts as the Merchant of Record. Paddle handles tax calculation, collection, and remittance in all jurisdictions.

Prices are listed exclusive of tax; applicable taxes are added at checkout.

You may cancel your subscription at any time via the Customer Portal. Upon cancellation, your subscription will remain active through the end of the current billing period. No refunds or credits will be issued for partial months of service or for periods where the subscription was active but unused.

7. License keys and activation

7.1 General Licensing

Commercial features are activated via license keys tied to your subscription. A "seat" is defined as one activated developer machine. Seat limits vary by plan and are strictly defined on our Pricing page.

7.2 Validation

License validation is primarily performed using cryptographic signatures. During certain periods (including beta, promotional access, or abuse prevention scenarios) online activation and validation may be required. We reserve the right to enforce seat limits and prevent unauthorized usage.

7.3 Seat Transferability

Users may deactivate a machine to transfer a seat to a new device at any time, provided the total number of concurrently activated machines does not exceed the limits of the purchased plan. We reserve the right to limit the frequency of transfers to prevent account sharing or unauthorized redistribution.

7.4 Enterprise Compliance

For Enterprise tiers, DSoftStudio reserves the right to request a summary of active seats to ensure compliance with the selected plan limits. Active Enterprise subscribers may request an offline activation mechanism for use in restricted environments.

Enterprise L fair-use cap. The "unlimited machines" entitlement of the Enterprise L tier is subject to a fair-use cap of 1,000 activated machines per subscription. This cap applies to both online activations and machines included in offline activation tokens. DSoftStudio reserves the right to enforce this cap technically (including but not limited to refusing additional activations or rejecting offline token generation requests exceeding the cap) and to require organizations approaching or exceeding the cap to upgrade to a custom contract negotiated with our sales team.

7.5 Offline activation tokens

Where an offline activation token is issued, the token cryptographically binds the entitlement to a specific list of machine fingerprints supplied by the customer. The customer is solely responsible for the accuracy and ongoing management of the fingerprint list. Adding or replacing machines requires the issuance of an updated token by DSoftStudio at the customer's request, subject to the applicable seat or fair-use cap.

8. Acceptable use

You agree not to:

  • Reverse-engineer, decompile, or disassemble the commercial tooling.
  • Circumvent or tamper with the license validation system.
  • Redistribute or sublicense the commercial tooling to third parties.
  • Use the commercial tooling to directly compete with DSoftStudio’s commercial offerings in violation of applicable law or licensing restrictions.

9. Intellectual property

The open-source library is MIT-licensed. All commercial tooling, documentation, and branding are the intellectual property of DSoftStudio. Your subscription grants a non-exclusive, non-transferable license to use the commercial features for the duration of your subscription.

10. Service availability

We strive to provide a reliable and high-quality service, but we do not guarantee uninterrupted availability.
The Service may be modified, updated, or temporarily unavailable due to maintenance, updates, or factors beyond our control.

11. Support and Billing Services

11.1 Best-Effort Support

For Individual and Teams tiers, support is provided on a best-effort basis via email. While we strive to assist all users, we do not guarantee specific response times, resolution times, or outcomes.

11.2 Priority Enterprise Support

Enterprise subscribers are entitled to Priority Support. This includes prioritized handling of technical inquiries and bug reports.
Priority Support does not apply during any free access period.

DSoftStudio will make commercially reasonable efforts to respond to Enterprise support requests in a timely manner, without guaranteeing specific response or resolution times.

Support is limited to issues directly related to the Service. We do not provide consulting, custom development, or general architectural guidance unless explicitly agreed in writing.

11.3 Invoice Billing

As part of the Enterprise tier, DSoftStudio may offer invoice billing services. This allows organizations to process payments via standard corporate procurement workflows, facilitated through our Merchant of Record, Paddle.

12. Limitation of liability

The Service is provided "as is" without warranty of any kind, express or implied.

The open-source DSoftStudio Mediator library is provided under the MIT License and is not part of the paid commercial Service. DSoftStudio shall have no liability arising from or related to the use of the open-source library, whether used independently or in conjunction with the Service.

You acknowledge that the Service may rely on third-party or open-source components, and DSoftStudio is not responsible for defects, failures, or damages originating from such components.

DSoftStudio shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from or related to your use of, inability to use, or reliance on the Service or the open-source library, including but not limited to loss of profits, data, or business opportunities.

Our total liability is limited to the amounts actually paid by you for the Service during the period in which the incident giving rise to the claim occurred, provided that you had an active paid subscription at that time. In no event shall this amount exceed the total amounts paid by you for the Service.

Any claim arising out of or related to the Service must be brought within a period equal to the duration of the paid subscription term during which the incident giving rise to the claim occurred, measured from the date of the incident. This claim period applies strictly to the specific subscription term in which the incident occurred and shall not be extended by any renewal, reactivation, or subsequent subscription.

If no claim is brought within this period, the claim is permanently barred, to the maximum extent permitted by applicable law.

You acknowledge that the Service is a developer tool and that you are solely responsible for the use, integration, and validation of your applications.

13. Termination

You may cancel your subscription at any time. We may terminate or suspend access to the commercial tooling if you violate these Terms.
Upon termination, commercial features degrade to the MIT base — your code continues to compile and run.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before taking effect.
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Uruguay. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Montevideo, Uruguay, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
